Grayscale files for a Bittensor ETF, with no launch date in the filing

Grayscale filed an amended registration statement for its Bittensor Trust with the SEC on October 23. The trust is to become the Grayscale Bittensor ETF on NYSE Arca, yet the filing names neither a trading start nor the annual fee.

Grayscale filed an amended registration statement for its Bittensor Trust with the US securities regulator, the SEC, on October 23, 2026. The document carries the designation S-1/A, Amendment No. 2, and describes how today's trust is to become an exchange-traded fund on NYSE Arca. It names no launch date. The price of Bittensor (TAO) stood at $253.16 on Thursday evening, almost exactly where it was a week earlier.

The filing is interesting for investors in Germany for two reasons, and both have little to do with the price. First, the document sets out the route Grayscale is taking to a listing and which step is still missing. Second, at the one place that matters for returns there is so far nothing: the sponsor's annual fee is not yet quantified in the filing.

Grayscale files Amendment 2 for the Bittensor Trust with the SEC

The Grayscale Bittensor Trust is registered with the SEC under the identifier CIK 0002029297. The filing of October 23 is the second amendment to the original application, which dates back to December 30, 2025. An S-1 is the registration statement with which an issuer registers securities for public trading in the United States; an S-1/A is the revised version an issuer submits when the regulator has follow-up questions or details have changed.

A filing is not an approval. The registration statement first has to become effective, and only after that can the exchange admit the shares to trading. In the document itself the date of the prospectus is still left open; only the year 2026 appears there. That is customary in ongoing procedures and at the same time shows how early the stage is.

The trust is to become the Grayscale Bittensor ETF under the ticker GTAO

Today the trust's shares are tradable off exchange. The document describes them as quoted on the OTCQX Best Market under the ticker GTAO. OTCQX is an American over-the-counter market on which securities trade that are not listed on a regular exchange.

If the registration becomes effective and NYSE Arca lists the shares, the sponsor intends to rename the trust. The filing states that the sponsor intends to rename the trust the Grayscale Bittensor ETF. The ticker GTAO would be retained, while the trading venue would move from the over-the-counter market to NYSE Arca. For existing holders in the United States that is above all a question of tradability: a listed fund can be traded closer to net asset value than a trust on the over-the-counter market, where premiums and discounts arise.

NYSE Arca Rule 8.201-E: the route to the exchange without a rule change of its own

The most interesting procedural point is in the section on the listing. The trust wants to be listed under NYSE Arca Rule 8.201-E in its generic version. That rule covers so-called Commodity-Based Trust Shares, meaning shares in trust assets that hold a commodity or a commodity-like good. Crypto funds have been placed in that category in the United States for years.

The addition is what counts: by its own account the trust does not expect NYSE Arca to have to file a rule change under Rule 19b-4. A 19b-4 procedure is the route by which an exchange submits a new or amended trading rule to the SEC for approval, and for years it was the bottleneck for crypto products. If that step falls away because the generic listing standards apply, the route shortens considerably.

A condition nonetheless remains. According to the filing the shares will not begin trading as long as NYSE Arca has not confirmed that the listing requirements are met. The document names no date for that anywhere.

The filing describes the entire route to a listing but leaves open when trading starts.

The sponsor fee is still a blank in the filing

With a fund, the ongoing fee decides a large part of the return. In the submitted document it is not yet filled in: the text names an annual rate as a percentage of the fee basis amount, but the number itself is missing. How it accrues is already described. The fee is accrued daily, settled in arrears and paid in TAO.

That the fee is settled in the cryptocurrency itself is common in this product category and has a consequence investors should know: the number of TAO per share falls over time, even when the price stands still. Anyone comparing such a fund with a direct holding is therefore never comparing just two prices. How far a fee carries over years can only be judged once the number is in the prospectus.

BitGo holds the TAO, with Coinbase Custody added as a second custodian

The filing names BitGo Bank & Trust, National Association as principal custodian. In addition, Coinbase Custody Trust Company is registered as a further custodian. Two custodians side by side have become the normal case in this market segment and are no peculiarity of this product; cryptoticker.io described the split of TAO custody back at the beginning of October.

The background is risk distribution. If the entire holding sits with one service provider, the product depends on that provider's security, solvency and availability. A second custodian spreads that risk, but it also increases the number of places where something can go wrong.

Baskets of 10,000 shares govern issuance and redemption

Shares in such a fund come into existence and disappear in blocks. The filing sets a block at 10,000 shares and calls it a basket. Authorised participants hand in TAO or cash and receive a basket for it, or they return a basket and receive the equivalent value.

This mechanism is the reason a listed fund normally trades close to its intrinsic value: if the exchange price diverges too far, the adjustment becomes worthwhile for the participants. With today's trust on the over-the-counter market that lever is missing in this form, which is why deviations from net asset value can arise there.

TAO price at $253, the week passed almost unchanged

The price has barely reflected the filing so far. According to CoinGecko, TAO stood at $253.16 on Thursday evening, equivalent to 226.78 euros. Over seven days that makes a loss of 0.94 percent, over 24 hours one of 1.33 percent. The daily values of the past week lay close together, between $250.94 on October 25 and $257.28 on October 23. Within the last day the range was considerably wider at $245.29 to $261.95.

Over a longer horizon the picture looks different. Over 30 days there is a loss of 17.16 percent, and the price is around 66 percent away from its high of $757.60 from March 2024. Market capitalisation stands at $2.95 billion, trading turnover of the past 24 hours at $123.09 million. In circulation are 11.67 million TAO against a cap of 21 million units.

As levels up and down, the edges of the weekly range will do for now. If the price holds above the area around $251, the sideways move stays intact; above $258 the week would be left on the upside. That is an observation, not a price target.

For investors here the framework in Germany decides, not the listing in New York.

What it means for investors in Germany: a US ETF is not tradable here

A fund approved in the United States generally cannot be bought by retail investors in the EU. The reason lies not in crypto law but in investor protection: distribution to retail clients in the European Economic Area requires a key information document under the PRIIP Regulation, and US issuers do not produce that document for their domestic products. German brokers therefore block such securities for retail clients.

In practice that means even if GTAO launches on NYSE Arca, nothing changes at first in what is available for a German securities account. Anyone wanting to hold TAO through a securities account ends up with European crypto ETPs, meaning debt securities traded on German exchanges. Which routes exist for that and how they differ is set out in the overview of crypto ETFs and ETPs in Germany. The second route remains a direct purchase through a trading platform.

Holding period, staking income and custody set the framework here

On a direct purchase the one-year holding period under Section 23 of the German Income Tax Act applies in Germany: anyone holding a cryptocurrency for more than a year sells the gain tax-free; below that, speculative taxation applies at the personal tax rate, with an exemption threshold for private disposals. With a security, and therefore also with an ETP, the flat-rate withholding tax regularly applies instead. Which route is cheaper depends on the individual case; clean documentation of acquisition dates helps in both, and there are tax tools and portfolio trackers for that.

With Bittensor staking comes on top, because TAO can be delegated to validators. Income from that is not a capital gain in Germany but ongoing income, taxable in the year it is received. Anyone staking through a provider should know in advance how the income is reported and who holds the keys; a comparison of staking platforms and their terms is the starting point for that. These details are no substitute for tax advice.

For the purchase route itself a uniform European framework has applied since the MiCA Regulation. Providers serving retail clients in the EU need authorisation as a crypto service provider; BaFin maintains the German permissions. Every permission can be looked up in the registers of BaFin and ESMA. The distinction matters: MiCA covers trading in crypto assets, not the distribution of US securities.

eTAO and Null Consensus: what was changed in the network recently

Independently of the fund, Bittensor adjusted its own mechanics in October. Mid-month brought the Null Consensus change, which raised the capacity of the subnets to 2,500 participants; cryptoticker.io assessed the expansion of subnet slots at the time. Subnets are the individual markets within the network in which computing power and models compete against each other.

On October 21 a mechanism called eTAO followed, according to information from around the project, with which subnet operators can adjust the distribution of emissions between operators, validators and miners themselves within limits. The emission itself has been reduced since the first halving in December 2025. Both affect the return delegators can expect and are therefore more relevant for holders than the question of which exchange an American fund is listed on.

Bittensor ETF: without NYSE Arca's confirmation GTAO stays an OTC security

Three steps follow from the situation:

  1. Place the state of the procedure. An amended filing has been submitted, nothing has been approved. Until NYSE Arca confirms the listing, the shares stay an over-the-counter security, and for a German securities account nothing changes in any case.
  2. Settle your own purchase route. Anyone wanting exposure to TAO decides between a European ETP in a securities account and a direct purchase from an authorised provider. The differences in costs and taxation are larger than those in the prices; regulated trading venues compared show which providers are licensed.
  3. Wait for the fee line. As long as the percentage is missing from the prospectus, the fund cannot be compared with anything. Once the number is there, it belongs next to the ongoing costs of the European alternatives.
